By submitting materials for inclusion in the Kansas City Rotary
Business Directory (“RBD”) site, you will be deemed to have agreed to and accepted
the following terms, conditions and undertakings:
MATERIALS PROVIDED BY YOU
Any advertisements or other materials placed by you or individuals
on your behalf on this web site (“Submitted Material”) will
be available for unlimited access and viewing by persons who may access
this website.
No Submitted Material will be accepted which in the sole judgment of
RBD is threatening, obscene, harassing, discriminatory or otherwise
objectionable, or that includes any material that RBD believes may
be proprietary of
another.
You agree to be responsible for any patent, trademark or copyright
infringement resulting from publication of any Submitted Materials
and agree to indemnify
and hold harmless RBD, its agents and affiliates from and against any
claims of infringement by others.
RBD reserves the absolute right at its discretion to modify or amend
any Submitted Material upon notice to you and to discontinue any advertisement
upon returning to you the remaining portion of the prorated cost of
the advertisement for the period for which payment has been made.
RBD will not be responsbile for the return of any images mailed for placement
in an ad.
LIMITATION OF DAMAGES
In no event shall RBD be liable to you or any affiliated entity for
any direct, indirect, special, consequential or other damages, including
without limitation, any lost profits, business interruption, loss
of information or programs or other data on your or its information
handling
systems, or the inability to use, the content, materials and functions
of the linked website, even if RBD is advised of the possibility
of such
damages.
CHANGES
RBD reserves the right, at its sole discretion, to change, modify,
add or remove any portion of this Agreement in whole or in part at
any time.
Changes in this Agreement will be effective on the tenth business
day after notice of the change is posted on the RBD website. Your
failure
to notify RBD of your rejection of any such change will constitute
your agreement to such change, provided that any change which increases
the
charges for advertising on the RBD website or commits you to any
extended usage of the RBD website will not be effective without your
prior approval.
Upon rejection of any change by you, this Agreement will be terminated
and RBD will refund the prorated portion of the payment made for
advertising on the RBD website.
